These Terms of Service ("Terms") govern your access to and use of the ViaLoka platform, websites, and services (collectively, the "Platform"), operated by URVALON International Holdings Ltd. ("ViaLoka", "we", "us"). By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. What ViaLoka Is

ViaLoka is a local-discovery and aggregation platform that surfaces vendors, businesses, products, services, and experiences to help users discover local offerings. We provide the technology that organizes and displays this information and, where applicable, facilitates contact, bookings, or transactions between users and vendors.

We are an intermediary. Unless expressly stated, ViaLoka is not the seller, provider, or operator of the goods, services, or experiences listed. Contracts for such offerings are concluded directly between the user and the respective vendor.

2. Eligibility & Accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or transact.
• You are responsible for the accuracy of the information you provide and for keeping your account credentials secure.
• You are responsible for all activity that occurs under your account.

3. Vendor Profiles & Listings

3.1 Aggregated and unclaimed profiles

To build a useful local catalogue, ViaLoka may create and display profiles for vendors that have not (yet) registered with us. These profiles are compiled from publicly available information and are enhanced by automated systems, including artificial intelligence, in order to surface local businesses with the best possible intent and usefulness.

Because these profiles are generated from third-party sources and processed by automated technology, they may be incomplete, out of date, or contain errors. An unclaimed profile does not imply any relationship with, endorsement by, or verification of the vendor. Prices, availability, contact details, and descriptions shown on unclaimed profiles are indicative only and are subject to change without notice.

AI-generated content is labelled. Where a profile description or other text on the Platform has been substantially generated or materially altered by artificial intelligence, we identify it as AI-generated, in line with applicable transparency requirements (including the EU AI Act). AI-processed content may contain inaccuracies and should be verified with the vendor.

3.2 Vendors are always in control — for free

Any vendor can, at any time and free of charge:

• Claim their profile and take control of it;
• Correct, update, or complete the information shown;
• Request removal (takedown) of their profile; or
• Sign up, then delete their profile and associated data themselves.

To claim a profile or request changes or removal, vendors can register on the Platform or contact us at legal@vialoka.com. We act on justified requests without undue delay.

3.3 Registered vendor content

Vendors who register are responsible for the content they publish (listings, images, prices, descriptions, availability, etc.). By publishing content, a vendor represents that it is accurate and that they hold the necessary rights to it, and grants ViaLoka a non-exclusive, worldwide licence to host, display, reproduce, adapt for formatting, and distribute that content on and through the Platform for the purpose of operating and promoting the service.

4. Accuracy, "As-Is" Nature & No Warranty

The Platform and its content — especially aggregated, third-party, and AI-processed information — are provided "as is" and "as available" without warranties of any kind, whether express or implied, including accuracy, completeness, fitness for a particular purpose, or non-infringement. You should verify important details (such as price, availability, and terms) directly with the vendor before relying on them.

5. Acceptable Use

You agree not to:

• use the Platform for any unlawful purpose or in violation of these Terms;
• scrape, harvest, or bulk-extract content except as expressly permitted;
• upload content that is illegal, infringing, misleading, defamatory, or harmful;
• impersonate any person or entity, or falsely claim a profile you are not authorized to represent;
• interfere with, disrupt, or attempt to gain unauthorized access to the Platform.

6. Transactions Between Users and Vendors

Where the Platform facilitates bookings, purchases, rentals, or events, the contract is between the user and the vendor. Vendors are responsible for fulfilling their offerings, honoring prices, and complying with applicable consumer-protection, tax, and other laws. ViaLoka is not a party to these contracts and is not liable for their performance, except where mandatory law provides otherwise or where we expressly act as a provider.

7. Intellectual Property

The Platform, its software, design, and ViaLoka-created content are protected by intellectual-property rights and remain our property. Third-party and vendor content remains the property of its respective owners. You may not use ViaLoka's trademarks, including ViaLoka®, without our prior written consent.

8. Content Removal & Notice

We may remove or disable access to any content that we reasonably believe violates these Terms or applicable law. If you believe content on the Platform is inaccurate, infringing, or unlawful, please notify us at legal@vialoka.com with a description and location (URL) of the content. 9. Limitation of Liability

To the maximum extent permitted by law, ViaLoka shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your reliance on aggregated, third-party, or AI-processed content. Nothing in these Terms excludes liability that cannot be excluded under applicable mandatory law (including liability for intent, gross negligence, or injury to life, body, or health).

10. Suspension & Termination

We may suspend or terminate your access to the Platform if you breach these Terms or use the Platform in a way that may cause harm or legal liability. You may stop using the Platform and delete your account at any time.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by appropriate means. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Malta, without prejudice to mandatory consumer-protection provisions of your country of residence. The place of jurisdiction is Malta, to the extent permitted by law.
